Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and NexusLabsCorp LLC, a Florida limited liability company doing business as “NexusLabs” (“NexusLabsCorp,” “we,” “us,” or “our”). Together with our Privacy Policy, Disclaimer, Returns & Refunds, and Shipping policies, these documents form the complete agreement governing your use of nexuslabscorp.com and any product or service we offer.

1. Acceptance of terms

By accessing this site, creating an account, or placing an order, you (a) acknowledge that you have read and understood these Terms, (b) agree to be legally bound by them, and (c) represent that you have the legal capacity to enter into this agreement. Your continued use of the site after a posted update constitutes acceptance of the updated Terms.

2. Eligibility and attestation

You represent and warrant that you are at least 21 years of age and that you are a qualified researcher, licensed professional, or institutional buyer purchasing for legitimate, lawful research purposes only. The 21+ and research-use attestations you accept at signup are binding representations, not formalities. False attestation voids your order, forfeits any payment-dispute rights provided herein, and entitles NexusLabsCorp to refuse all current and future orders at our sole discretion.

3. Research use only — not a pharmacy, not a drug

All products sold by NexusLabsCorp are for research, laboratory, and educational purposes only. They are not for human consumption, veterinary application, or any therapeutic use. NexusLabsCorp is not a licensed pharmacy, is not subject to FDA drug-approval requirements, and makes no medical claims regarding any product. Products are not pharmaceuticals, dietary supplements, cosmetics, or food. See our Disclaimer for the full statement, which is incorporated into these Terms by reference.

4. Orders, pricing, and acceptance

We reserve the right to refuse, limit, modify, or cancel any order at our sole discretion, including but not limited to: inventory shortages, suspected resale or redistribution, suspected false attestation, or compliance review. Prices may change without notice; the price displayed at checkout is the price you pay. An order is not confirmed until payment is captured and we send an order confirmation. If we cancel a paid order, we will refund or credit the captured payment in accordance with Returns & Refunds and §12 below.

5. Account responsibility and termination

You are responsible for maintaining the confidentiality of your account credentials and any second-factor authenticator (TOTP code, hardware key) associated with your account. All activity under your account is your responsibility. Notify us immediately at [email protected] if you suspect unauthorized access.

NexusLabsCorp may suspend or terminate your account, cancel any open order, and refuse future orders at our sole discretion, including but not limited to: evidence of false age or research-use attestation, suspected resale or redistribution, violation of any applicable law or these Terms, initiation of a fraudulent payment dispute or chargeback, or abuse of our support staff.

6. Intellectual property and user content

All site content, design, branding, and materials are the property of NexusLabsCorp LLC and protected by copyright, trademark, and other applicable law. “NexusLabs,” “NexusLabsCorp,” the NexusLabs wordmark, and the gold dot logo are common-law trademarks of NexusLabsCorp LLC. Unauthorized use is prohibited.

If you submit content (product reviews, photos, peptide requests, or feedback), you grant NexusLabsCorp a worldwide, royalty-free, perpetual, non-exclusive license to use, reproduce, display, and adapt that content for any purpose related to operating the site, marketing our products, or responding to your inquiries. You represent that any content you submit is your original work or properly licensed and does not infringe any third party's rights.

7. Limitation of liability

NEXUSLABSCORP LLC PROVIDES ALL PRODUCTS AND SERVICES “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THIS DISCLAIMER APPLIES TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

To the fullest extent permitted by law, NexusLabsCorp LLC's total liability to you for any claim arising from or related to these Terms, your account, or any product purchased from us — regardless of the form of action — is limited to the greater of (a) the amount you paid for the specific product giving rise to the claim, or (b) one hundred U.S. dollars ($100.00).

NexusLabsCorp LLC shall not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including but not limited to: loss of profits, loss of data, loss of goodwill, personal injury, property damage, regulatory action against you, or any damages resulting from third-party service failures (payment processors, shipping carriers, cloud infrastructure providers, or blockchain networks), even if NexusLabsCorp LLC has been advised of the possibility of such damages.

This limitation of liability survives the termination or expiration of these Terms and any cancellation of your account or any order.

8. Governing law and venue

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply. For any matter not subject to arbitration under §10, you consent to exclusive jurisdiction and venue in the state and federal courts located in Palm Beach County, Florida, and waive any objection to such venue.

10. Dispute resolution — binding arbitration

Please read this section carefully. It affects your legal rights.

You and NexusLabsCorp LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, any product you purchased, or your use of this site — including disputes about the validity, enforceability, or scope of this arbitration clause — shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (for purchases under $75,000) or Commercial Arbitration Rules (for claims above that threshold), rather than in court.

Class-action waiver. You and NexusLabsCorp LLC each waive the right to participate in a class action, class arbitration, consolidated proceeding, or representative proceeding. All claims must be brought on an individual basis. The arbitrator may not consolidate the claims of multiple parties and may not preside over any form of representative or class proceeding.

Arbitration shall take place in Palm Beach County, Florida (or by remote video at the arbitrator's discretion). The arbitrator may award any individual relief that a court could award, but may not enjoin or affect the rights of any person not party to the arbitration. The arbitrator's decision is final and binding and may be confirmed by any court with jurisdiction.

Exception: Either party may seek emergency injunctive or other equitable relief in a state or federal court located in Palm Beach County, Florida, to prevent irreparable harm pending arbitration, without waiving the right to arbitrate the underlying claim.

One-year limitation period. Any claim arising out of or related to these Terms or your purchase must be brought within one (1) year of the date the cause of action arose. Claims not brought within this period are permanently barred.

11. Modifications and survival

NexusLabsCorp LLC may update these Terms at any time. When we make material changes, we will update the “Last updated” date at the top of this page and may post a notice on the site. Your continued use of the site after the updated Terms are posted constitutes your acceptance of the revised Terms. If you do not agree to a change, you must stop using the site and may request deletion of your account.

Sections 3 (Research Use), 6 (Intellectual Property), 7 (Limitation of Liability), 10 (Dispute Resolution), 12 (Payments and Chargebacks), 13 (Buyer Representations), and 15 (DMCA) survive any termination or expiration of these Terms.

12. Payments, crypto finality, and chargebacks

Cryptocurrency payments are final.When you pay with cryptocurrency via NowPayments or any other crypto provider, the transaction is recorded on a public blockchain and cannot be reversed, charged back, or disputed through any card network, bank, or exchange. Approved refund-eligible claims on crypto-paid orders are resolved at NexusLabsCorp LLC's sole discretion as product replacement or store credit — not cash. By choosing crypto payment, you accept the irreversible nature of blockchain transactions and agree that NexusLabsCorp bears no responsibility for funds sent to incorrect addresses, in incorrect amounts, or outside the quoted expiration window.

Card payments — anti-chargeback. By placing an order paid by card (or any card-equivalent including Apple Pay, Google Pay, or fiat-on-ramp via NowPayments), you agree that you will not initiate a payment dispute or chargeback with your card issuer for any claim that (a) does not meet the qualifying criteria in our Returns & Refunds policy, or (b) has not first been submitted to our support team and given five (5) business days to respond. Filing a chargeback in violation of this provision constitutes a breach of these Terms and entitles NexusLabsCorp LLC to recover the chargeback amount, associated card-network fees, processing costs, and reasonable legal fees through any available legal means.

13. Buyer representations and warranties

By placing an order, you represent and warrant that:

• You are at least 21 years of age.
• You are a qualified researcher, licensed professional, or institutional buyer purchasing these compounds for legitimate, lawful research purposes only.
• You will not use any product for human consumption, veterinary application, or any therapeutic purpose.
• You will not resell, redistribute, donate, gift, or otherwise transfer products to any third party.
• You are not located in, organized under the laws of, or acting on behalf of any person or entity in a country or region subject to U.S. economic sanctions administered by the Office of Foreign Assets Control (OFAC), and you are not listed on any U.S. government denied-party or sanctions list.
• You are not a representative, agent, employee, or affiliate of any competing peptide vendor purchasing for competitive intelligence, reverse-engineering, quality-testing, or resale.
• You are solely responsible for ensuring your purchase, possession, handling, storage, disposal, and use complies with all federal, state, local, and institutional laws, regulations, and policies applicable to you, including but not limited to Institutional Review Board (IRB) and Institutional Animal Care and Use Committee (IACUC) protocols where applicable.

You acknowledge that any false representation voids your order, waives any payment-dispute rights provided herein, and entitles NexusLabsCorp LLC to cancel any current or future orders at its sole discretion.

14. Force majeure

NexusLabsCorp LLC is not liable for any failure or delay in performance where the failure results from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, civil unrest, labor disruption, government action or regulation, shipping carrier disruption, blockchain network failure or congestion, cryptocurrency exchange failure or insolvency, payment-processor failure, cloud infrastructure outage, or supply-chain disruption. In such events we will notify you when practical and either fulfill your order when possible or, at our sole discretion, issue a refund or store credit.

15. DMCA and intellectual-property claims

NexusLabsCorp LLC respects the intellectual property rights of others. If you believe any content on this site infringes your copyright, send a written notice to [email protected] containing: (1) your contact information; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the allegedly infringing material and its location on this site; (4) a statement of good-faith belief that the use is unauthorized by the copyright owner, its agent, or the law; (5) a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner; and (6) your electronic or physical signature.

16. Severability and waiver

If any provision of these Terms is held unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to enforce it later.
